Hakon Invest, which was originally called ICA Förbundet Invest, was formed ahead of the change in ownership of ICA AB which took place in 2000. The new name was adopted by the 2005 AGM, which also decided to prepare for an IPO of Hakon Invest.

Hakon Invest was originally called ICA Förbundet Invest and was formed by ICA-handlarnas Förbund ahead of Royal Ahold’s entrance as an owner in ICA AB in 2000. The assignment was to exercise active ownership in ICA and strengthen and develop the ICA concept.

In conjunction with the change in ownership, a directed share issue was made in Hakon Invest, which meant that preference shares were issued to former owners of ICA AB. After the issue, ICA-handlarnas Förbund owned 75% of the shares in Hakon Invest and the remaining 25% were owned by existing and former ICA retailers.

Application for stock exchange listing

ICA-handlarnas Förbund and Hakon Invest decided at their 2005 association and annual general meetings to apply for a listing of Hakon Invest on the Stockholm Stock Exchange. The intention was, with the aid of a liquid and market-priced share, to secure a favorable long-term ownership structure and access to the capital market.

At the same time, Hakon Invest’s operational strategy was broadened, with continued significant ownership influence in ICA AB and the ICA concept as a base, to include active and long-term investment operations with a focus on retail-oriented companies.

Change of name, new share structure and listing

The change of name to Hakon Invest marked a step towards clarification of the new strategy and that its operations are separate from ICA AB. Ahead of the listing on the Stockholm Stock Exchange on December 8, 2005, a new share structure was established with common shares and C shares. The common shares, which comprise 49% of the total number of shares, are listed and carry entitlement to cash dividends. The remaining 51% comprise unlisted C shares which are all owned by ICA-handlarnas Förbund. The C shares do not carry entitlement to cash dividends between the years 2005-2015. From 2016 and onwards C shares, according to earlier communication, will be converted into common shares entitled to dividend.
